Acceptance of terms
By creating an account or using FileChute ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using FileChute on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.
Service description
FileChute is a hosted document collection platform. It provides tools to create file requests, share branded upload links with clients, collect uploaded documents, and manage document collection workflows. The Service is designed for professional use by accountants, financial advisors, mortgage professionals, legal practitioners, and other service providers who collect documents from clients.
Accounts and access
- You must provide accurate and complete information when creating an account.
- You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
- You must notify us promptly if you suspect unauthorized access to your account.
- We reserve the right to suspend or terminate accounts that violate these Terms or that show signs of fraudulent or abusive activity.
Acceptable use
You agree not to use the Service to:
- Upload, request, or transmit content that is unlawful, harmful, threatening, defamatory, or otherwise objectionable
- Collect documents in violation of applicable laws, regulations, or the rights of third parties
- Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to distribute malware, phishing content, or spam
- Resell, sublicense, or redistribute the Service without written permission
Data ownership and responsibility
- Your data: you retain all ownership rights to the content you upload, request, or create through the Service. FileChute does not claim ownership of your data.
- License grant: you grant FileChute a limited, non-exclusive license to store, process, and transmit your data solely to provide and improve the Service.
- Recipient uploads: when a recipient uploads files in response to your request, those files are stored in your account. You are responsible for how you use, store, and share those files after downloading them.
- Content responsibility: you are solely responsible for ensuring that your use of collected documents complies with applicable privacy laws, professional regulations, and client agreements.
Billing and subscriptions
- FileChute offers a free tier and paid subscription plans. Features and limits for each plan are described on the pricing page.
- Paid subscriptions are billed on a recurring monthly basis through Stripe. By subscribing, you authorize Stripe to charge your payment method on each billing cycle.
- You may cancel your subscription at any time through the billing settings. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued for partial months.
- We reserve the right to change pricing with 30 days’ notice. Price changes do not apply to the current billing period.
- If a payment fails, we may downgrade your account to the free tier after a reasonable grace period.
Service availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make commercially reasonable efforts to:
- Provide advance notice of planned maintenance that may cause downtime
- Restore service promptly in the event of unplanned outages
- Maintain the integrity of stored files and account data
Intellectual property
FileChute and its original content (excluding user-generated content), features, and functionality are owned by FileChute and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without written permission.
Limitation of liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- FileChute shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid to FileChute in the 12 months preceding the claim, or (b) one hundred US dollars ($100).
- These limitations apply regardless of the legal theory on which the claim is based, even if FileChute has been advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless FileChute, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any content you upload, request, or transmit through the Service.
Termination
- You may close your account at any time by contacting us. Upon closure, we will delete your data in accordance with our Privacy Policy.
- We may suspend or terminate your access to the Service at any time for violation of these Terms, with notice where practicable.
- Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and limitations of liability) will survive.
Changes to these terms
We may revise these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of FileChute after the revised Terms become effective constitutes acceptance of the changes.
Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
